Alumni Mentorship Program (Intensive) - Terms & Conditions

These terms and conditions (referred to as “T&C”) are for the purpose of "Alumni Mentorship Program (Intensive)" (hereinafter referred to as “Program”) which is organized by Nxtwave Disruptive Technologies Pvt. Ltd (hereinafter referred to as “Nxtwave” or “Company”).

Please read these T&C carefully before participating in the Program. By participating in the Program, you agree to be bound by these T&C, which are in addition to and subject to Nxtwave’s “Terms of Use” and “Privacy Policy”.

Agreeing to the T&C hereby means that you consent, agree and undertake to participate in the Program in accordance with the agreed terms and conditions. If you do not agree with any part of the T&C, please do not participate in the Program.

1. Definitions & Interpretation

For the purposes of this T&C, unless there is anything in the subject or context inconsistent therewith, the capitalized terms listed below shall have the following meanings:

“Intensive” shall refer to the course offered by the Company as detailed out at https://www.ccbp.in/ (also referred to as “Intensive 3.0” or “NxtWave Intensive” or “NxtWave Intensive 3.0”)

“Alumnus(i)” shall mean the users who secured their placement through Intensive

Aspirant” or “Lead” shall mean any individual who is or maybe interested in enrolling in Intensive but hasn’t attended any awareness sessions/interactions including webinars conducted by the Company

“Qualified Lead” shall mean any individual to whom awareness about Intensive has been created by the Company through sessions/interactions

Alumni Program” shall mean the Program where Alumni guide the Aspirants/Qualified Leads/existing users of CCBP 4.0 Intensive. It includes “Alumni Connect”, “Live Interaction”, “Demo” and “Mentor Mantra” activities as detailed below:

“Activity” shall mean the sessions or interactions under “Alumni Connect”, “Live Interaction”, “Demo” and “Mentor Mantra”

Enrollment” refers to the process where an individual enrolls into Intensive as per the payment plans defined in https://www.ccbp.in/terms-and-conditions and doesn’t claim for any refund during the eligible refund period.

2. Eligibility for Participation:

  • Selected Alumni of Intensive shall be eligible to participate in the Program. The Company selects the participants based on the criteria that it deems fit for the successful execution of the Program.
  • The Company retains sole discretion in determining eligibility to participate in the Program. In the event that the Company declares you to be ineligible to attend the Program for any reason whatsoever, its decision shall be binding and final.
  • Participation is voluntary.

3. Interaction Guidelines:

  • Alumni must communicate respectfully with every Aspirant/Qualified Lead.
  • Alumni must not impair the goodwill or reputation of the Company
  • Alumni must provide true and accurate information to Aspirant/Qualified Lead. They must not manipulate, make false promises or provide false information.
  • Alumni must not ask for personal contact information, confidential information such as bank details/passwords or any other sensitive information.
  • Alumni must not share their referral code with the Aspirant/Qualified Lead.
  • Alumni must adhere to any other guidelines as communicated by the Company from time to time.

4. Benefits to Alumni

  • Alumni shall receive the following benefits for their participation in the Program subject to fulfillment of terms and conditions of the Program.

****Effective from 1st June 2023. Till 31st May 2023 - Rs. 2500/- per Enrollment

  • Company reserves the right to modify the benefits at its sole discretion with or without any prior notice.
  • Payment Timeline:
  • The total benefits earned by Alumni in March & April 2023 shall be paid by the 31st May 2023.
  • Effective May 1, 2023, Alumni shall generate and submit invoices for the benefits accrued during a specific month after the conclusion of that respective month. The payment will be processed within 14 days of receiving the invoice, provided the Company didn’t seek any clarification or further information related to the invoice.
  • For Alumni Connect activity, Alumni shall be eligible to claim benefits if the enrolled Qualified Lead does not claim a refund within the eligible refund duration. Only those enrollments whose refund duration falls within the specified month and for which no refund is claimed within that duration shall be considered for invoice generation of that month.
  • Example 1: If the refund duration for an enrollment is from 25 May 2023 to 31 May 2023 and refund is not claimed in this duration, such enrollment shall be considered for invoices to be generated for May 2023.
  • Example 2: If the refund duration for an enrollment is from 26 May 2023 to 1 June 2023 and refund is not claimed in this duration, such enrollment shall be considered for invoices to be generated for June 2023.

5. Eligibility for Claiming the Benefits: 

  • Alumni Connect
  • Alumnus shall guide a minimum of 6 Qualified Leads per week and 24 Qualified Leads per month.
  • Alumni shall guide the Qualified Leads through any communication channels including call, chat based on mutual convenience. The details of interaction, including the proof of interaction, shall be immediately updated in the designation platform provided by the Company.
  • The benefit can be claimed for each successful Enrollment, subject to fulfilling the terms and conditions of the Program.
  • Interactions shall be in accordance with the guidelines communicated by the Company from time to time.
  • After interaction, personal information of the Qualified Lead shall be promptly erased by the Alumni and the Qualified Lead shall not be further contacted for any purpose.
  • Demo
  • Alumnus shall be present throughout the Q&A session of the Demo with their video on and answer the relevant queries in accordance with the guidelines communicated by the Company from time to time.
  • Live Interaction
  • Alumnus shall be present throughout the Live Interaction with their video on and answer the relevant queries in accordance with the guidelines communicated by the Company from time to time.
  • Mentor Mantra
  • Each session shall be of minimum 30 minutes duration.
  • The session shall be conducted in accordance with the guidelines communicated by the Company from time to time.
  • The Company reserves the right to decline or refuse to pay the benefits in case of non adherence to the terms & conditions of the Program.
  • Alumni shall submit the proofs of interaction, which might include call recordings, screenshots of interaction etc., in a format accepted by the Company whenever required.

6. Other Terms & Conditions

  • Non-availability Notification:
  • The Alumni shall attend the interaction sessions/calls at the scheduled time. In case of non-availability due to unavoidable reasons, they shall inform the Company at least 3 hours in advance.
  • In case of Alumni Connect, if Alumni is inactive or unavailable for more than a week without prior notice, they will be offboarded by default and mail communication regarding the same will be sent.
  • Invitation Discretion: The Company reserves the right to determine and invite Alumni to its activities at its sole discretion. The Company is not obligated to invite them for every activity conducted. The Company may select based on various criteria, including but not limited to skills, qualifications, availability, suitability, and specific requirements of each activity. Company reserves the right to revoke/cancel an already sent invitation at its sole discretion.
  • No Entitlement: Participation in previous activities does not entitle the Alumni to automatic inclusion in all future activities. Each activity may have its own selection process and criteria, and the Company reserves the right to determine the participants accordingly.
  • Invitation Discretion: The Company reserves the right to determine and invite Alumni to its activities at its sole discretion. The Company is not obligated to invite them for every activity conducted. The Company may select based on various criteria, including but not limited to skills, qualifications, availability, suitability, and specific requirements of each activity. Company reserves the right to revoke/cancel an already sent invitation at its sole discretion.
  • Disqualification: Non-adherence to T&C shall lead to the disqualification of Alumni from the Program. Also, less satisfaction rating/score by interacted Leads/Qualified Leads, less conversion rates, unavailability may lead to disqualification of Alumni, at the sole discretion of the Company.
  • Off-boarding: Company may off-board the Alumni from this Program without prior notice at its sole discretion.
  • Rescheduling or Canceling the sessions: The Company can cancel or reschedule the sessions with or without notice at its sole discretion. The Company shall inform the respective Alumni at the earliest possible regarding the same.
  • Use of Content: By participating in the interaction sessions, Alumni acknowledge and agree that the Company has the sole discretion to monitor, moderate, record, cancel, edit, publish, or use the sessions for various purposes including but not limited to marketing, compliance, quality assurance, training.
  • Confidential Information: The Alumni may have access to confidential information belonging to the Company. This includes, but is not limited to, proprietary business information, trade secrets, technical know-how, financial data, customer information, marketing strategies, and any other information identified as confidential by the company. The Alumni shall not disclose, share, or use the confidential information for any purpose other than their participation in the program. Upon offboarding, disqualification or Company’s request, Alumni shall promptly return to the Company all Confidential Information provided by the Company, destroy all copies it made of any Confidential Information, and if requested by the Company, provide a certificate executed by Alumni confirming compliance with the return or destruction obligation under this section. This certification shall include details of the returned information or a description of the destruction method employed. This obligation of confidentiality remains in effect until the confidential information becomes publicly known through no fault of the Alumni.
  • Indemnification: Alumni agree to indemnify and hold the Company harmless from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to their participation in the program. Participants shall indemnify the Company against any claims or actions brought by third parties arising from their breach of confidentiality obligations, unauthorized use or disclosure of confidential information, or any other violation of the terms and conditions of the program. The indemnification obligations shall survive the completion or termination of the Program. Company shall promptly notify Alumni of any claims or actions subject to indemnification, and participants shall cooperate fully in the defense of such claims.
  • Intellectual Property Rights: Any intellectual property created, developed, or produced by participants in the Program shall be the sole and exclusive property of the Company. Participants hereby assign, transfer, and convey all rights, titles, and interests in and to such intellectual property to the Company without any additional compensation. Company shall have the right to use, modify, reproduce, distribute, display, and sublicense the intellectual property for any purpose, including but not limited to commercialization, marketing, and promotion, without any obligation to compensate participants. Participants warrant and represent that their participation in the program and the creation of intellectual property do not infringe upon any third-party rights. Participants shall indemnify and hold Company harmless against any claims or actions arising from the infringement of intellectual property rights. This intellectual property clause shall survive the completion or termination of the program, and its terms and conditions shall be binding upon participants.
  • The Company reserves the right to substitute, change, cancel or add to any part of these terms at any time, including terminating the Program, changing the benefits structure etc., without prior notice.
  • Company reserves the right to decline or cancel Alumni’s participation in the challenge, with or without any advance notice, if the Company believes that;
  • their participation in any way is impairing the brand and/or goodwill associated with any of the Intellectual Property
  • the alumnus is promoting false or misleading information or making any misrepresentation in relation to the Company, its offerings and the Program.
  • the alumnus is involved in any suspicious activity.

Governing Law, Jurisdiction & Dispute Resolution:

  • This Agreement shall be governed by the laws of India only.
  • Both Parties hereby irrevocably agree to submit all disputes to the exclusive jurisdiction of Hyderabad, Telangana Courts.
  • Any dispute or disagreement arising from or related to this agreement shall be resolved through mutual discussion in the first instance, failing which it shall be resolved through arbitration in accordance with the Indian Arbitration and Conciliation Act, 1996. The arbitration shall be conducted by a mutually agreed single arbitrator. The arbitration proceedings shall take place in Hyderabad, India and be conducted in English. The arbitrator's decision shall be final and binding.
  • NxtWave shall not be liable in the event it fails to fulfill any of its obligations under these terms and conditions due to flood, earthquake, storm, cyclone or any other acts of god of similar nature, war, strike, lockout, quarantine, lockdown, or governmental or judicial or quasi-judicial policies/intervention/direction /prohibition or change in law or for any other reasons beyond its control.
